The following terms govern the use of the organization’s services and any related websites or applications. By accessing or using services provided by the organization, a user or client accepts these terms. If a party does not agree to these terms, they should not use the services. These terms form a binding agreement between the user and the organization unless otherwise agreed in a separate written contract.
Acceptance of Terms
Use of the services indicates acceptance of the terms and any posted updates. The organization reserves the right to modify the terms at its discretion. Continued use of the services after changes are posted constitutes acceptance of the revised terms. Users are responsible for periodically reviewing the terms for updates.
Acceptable Use and Service Usage
Services must be used lawfully and in accordance with any usage policies communicated by the organization. Users must not interfere with or disrupt the integrity or performance of the services. Prohibited conduct includes unauthorized access, data harvesting, and actions that could compromise the security or availability of the services. The organization may monitor usage to ensure compliance with these requirements.
Intellectual Property
All intellectual property rights in the services, including designs, software, documentation, and any deliverables provided as part of a project, remain the property of the organization unless a separate agreement explicitly transfers ownership. Clients are granted a limited, non-exclusive license to use deliverables for the purposes specified in their agreement. Reverse engineering, copying, or redistribution of proprietary materials is prohibited without prior written consent.
Limitation of Liability
The organization’s liability for any claim arising out of the services is limited to the amounts paid for the specific services giving rise to the claim, to the extent permitted by applicable law. In no event will the organization be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, even if advised of the possibility of such damages. This limitation does not exclude liability where prohibited by law.
Termination
Either party may terminate an engagement according to the terms set out in the applicable service agreement. The organization may suspend or terminate access to services immediately if a user materially breaches these terms or engages in unlawful or harmful conduct. Upon termination, outstanding fees become due and any licenses granted will cease, subject to any survival clauses in the agreement.
Changes to Terms
Terms may be updated to reflect changes in services, legal requirements, or business practices. When material changes are made, they will be communicated through standard channels and posted on the relevant service pages. Continued use of the services after such notice implies acceptance of the modified terms; users who do not agree should discontinue service use.
Governing Law and Dispute Resolution
Any disputes arising from these terms or use of the services will be governed by the laws specified in the applicable service agreement. Where no agreement specifies governing law, the organization’s default jurisdiction will apply. Parties will seek to resolve disputes through good-faith negotiation before pursuing formal legal remedies.
